United States Affiliate Terms and Conditions

Welcome to Wolverine World Wide Affiliate program.  We are excited to partner with you!

These Affiliate Terms and Conditions (the “Terms”) apply to your participation as an Affiliate in the Affiliate Program of Wolverine World Wide, Inc. (“Wolverine”) through the Cuelinks platform and the establishment of links from your website.  Wolverine’s brands are set forth in Section 11..  All references to Wolverine in these Terms relates to each of its brand’s program separately. 

By participating in Wolverine’s Affiliate program, you are confirming that you have read these Terms and you agree to be bound by them. This Terms supplement the agreement you have previously executed with Cuelinks. To the extent that any of the terms or conditions set forth in these Terms conflict with those set forth in your agreement with Cuelinks, these Terms shall govern.

1. Unsuitable Sites

May include but are not limited to those that:

• Contain or promote any materials that, in Wolverine’s sole judgment, are sexually explicit, pornographic in nature, promote violence, hate, discrimination or any other content not in alignment with Wolverine’s Core Values;

• Misrepresent themselves as a Wolverine website by using the “look and feel” of or text from our site;

• Include “Wolverine” or variations or misspellings thereof in their domain names;

• Otherwise violate intellectual property rights of Wolverine;

• Do not clearly state an online privacy policy to their visitors; or

• Require downloads and/or unknowingly download software to visitors’ computers.

Our acceptance criteria are subject to change at any time without prior notice.

2. Offers

Wolverine offers will be posted regularly on Cuelinks to pay Affiliates a specified referral fee on sales of Wolverine products through a Qualifying Link. “Qualifying Link” means a link from your site to our site using one of the URLs or graphic links specified in the Offer and provided by Wolverine (through Cuelinks) for use in the Program if it is the last link to our site that the Customer uses before purchasing a product on our site.

Links and corresponding banner advertisements will be communicated to our Affiliates through the Cuelinks Platform Newsletters. The terms of an Offer, as posted on Cuelinks or otherwise communicated to you, shall be governed by these Terms. However, in the event of any inconsistency between the terms of the specific Offer and these Terms, the terms of the Offer shall govern.

Upon request by Wolverine, you agree to promptly implement any changes to links or banner ads being used in connection with an Offer. You are only allowed to use Wolverine promotion codes that are communicated specifically to you via Cuelinks on behalf of Wolverine. Wolverine codes not provided by Wolverine are not commissionable and their use may result in termination from Wolverine’s affiliate program.

3. Links on Your Site

Wolverine will provide Qualifying Links through Cuelinks that will serve to identify your site as a member of the Program and will establish a link from your site to ours. Wolverine may also provide banner ads for your use. You also agree that you will display in your site only those graphic images (indicating a Qualifying Link) that are provided by us, and you will substitute such images with any new images provided by us from time to time. Affiliates will only be commissioned on sales tracked through Qualifying Links.

4. Search-Related Activity

Affiliates must follow guidelines for each of the separate programs listed.

Search Campaigns - Non-compete SEM Bidding Keywords

Publishers are prohibited from outranking Wolverine in their SEM campaigns.

• Trademark bidding can only occur on coupon or promotion-related keywords.

• Affiliates may never outrank or outbid Wolverine.  Affiliates may never be in position number 1. Outranking Wolverine may result in reversal of transactions and removal from the program.

• Affiliates may not bid on any terms outside of the agreed upon terms. 

• Affiliates must exact match keywords.  No phrase or broad match allowed.

• Bid caps: Affiliate’s SEM keywords cannot have bids higher than .25.

Search Campaigns - Prohibited SEM Display URL Content

Publishers are prohibited from using the following in the display URLs of SEM campaigns.

• Affiliates may never use [Wolverine Brand URL], or any domain owned by Wolverine as their display URL.

• Affiliates must contact Wolverine for approval before purchasing or promoting any domains that include Wolverine trademarks.

• Affiliates may not use the word "direct" as pertaining to Wolverine anywhere in their display URLs.

• Affiliates may not use Wolverine anywhere in the display URL.

• Affiliates are limited to a maximum of two separate display URLs per search result.

Search Campaigns - Limited Use SEM Display URL Content

Publishers are permitted to use the following in the display URL of SEM campaigns.

• Use of the term “coupon” in the display URL is permitted.

• Affiliates may not bid on any terms outside of the agreed upon terms

• Affiliates must exact match keywords.  No phrase or broad match allowed.

• Bid caps: Affiliate’s SEM keywords cannot have bids higher than .25.

• Affiliates may never outrank or outbid Wolverine. Affiliates may never be in position number 1. Outranking Wolverine may result in reversal of transactions and removal from the program.

Search Campaigns - Prohibited SEM Ad Copy Content

These are items that publishers are prohibited from using in the ad copy of SEM campaigns.

• Use of language such as "official site", "official store", or any ad copy that may appear to represent Wolverine is not permitted.

Search Campaigns - Limited Use SEM Ad Copy Content

These are items that publishers are permitted to use in the ad copy of their SEM campaigns.

• Use of the Wolverine brand name is permitted in ad copy serving to the trademark terms discussed above.

• When bidding on generic keywords, affiliates may not use Wolverine in their ad copy.

• Ad Copy - Please do not call out “site-wide savings”. Also note, that we do not allow you to mention a specific % off as promotions change frequently and we may not have that particular % off happening at the time the user clicks the ad.

Search Campaigns – Expected Reporting

The following reporting is expected (but not required) from publishers who participate in TM+ bidding.

• Affiliates are expected to create an automated report, sent directly from AdWords to [email protected] on Monday mornings for the prior 7 days.

• Expected columns include Max CPC, Avg. CPC, Clicks, Impressions, and Avg. Pos.

Violation of any of the above terms may result in immediate termination from Wolverine’s Affiliate Program. Wolverine reserves the right to reverse commissions in case of a violation.

5. Other Prohibitions

• Affiliates may not modify any Wolverine sites in any way. Any attempts to do so will result in termination from the Wolverine Affiliate Program.

• Affiliates may not alter their sites to mimic any Wolverine sites. Affiliates presenting their sites as “official” Wolverine sites will be terminated from the Wolverine Affiliate Program.

• Affiliates may not “scrape” or “spider” any Wolverine sites for content (such as images, logos or text).

6. Commission

Commission can only be paid to partners when their shoppers click through to our site using a Qualifying Link and have enabled cookies on their browser.

Wolverine pays members of our Affiliate Network a base rate of 3%. This structure may change at Wolverine’s discretion without notice. Commission structures for loyalty and content partners may be different and are determined on a case-by-case basis.

Commission caps may be implemented on bulk order purchases.

7. Agreement Compliance

Wolverine has the right in our sole and absolute discretion to monitor your site regularly to determine if you are in compliance with these Terms, and you agree to provide us with unrestricted access to your site for such purpose.

To permit accurate tracking, reporting and fee accrual, you must ensure that the links between your site and our site are properly formatted. Wolverine is not responsible for improperly formatted links. Wolverine is unable to track or provide credit for sales from customers with browsers that do not have cookies enabled.

8. Term and Termination

Your participation in the program may be terminated at any time by you or Wolverine, with or without advance notice. If an Affiliate is found to be in violation with any of these Terms, the Affiliate may be terminated from the Program immediately.

Upon termination by Cuelinks or Wolverine, you will immediately cease use of, and remove from your site, all links to our site and all Wolverine-related content.

9. Confidentiality

Except as otherwise provided in these Terms or with our prior written consent, you agree that all information including, without limitation, these Terms Agreement, our business and financial information, our customer lists, and our pricing and sales information, shall remain strictly confidential and shall not be utilized, directly or indirectly, by you for your own business purposes or for any other purpose except and solely to the extent that any such information is generally known or available to the public through a source or sources other than you or your affiliates.

10. Wolverine World Wide Brands
