Affiliates cannot bid on branded terms such as ABC Mouse, ABCmouse.com, Age of Learning, AofL, 123 Mouse, Do Re Mi Mouse, Bringing Learning to Life, Search and Explore, Student Progress Online Tracking, SPOT, or any variation of these identifiers or those trademarks that Company may acquire in the future that could potentially lead to confusion.

Affiliates cannot use branded terms such as ABC Mouse, ABCmouse.com, Age of Learning, AofL, 123 Mouse, Do Re Mi Mouse, Bringing Learning to Life, Search and Explore, Student Progress Online Tracking, SPOT, or any variation of these identifiers or those trademarks that Company may acquire in the future that could potentially lead to confusion.

Affiliate must use language that does not violate or contravene the Terms and Conditions available on ABCmouse.com.

Search Campaigns - Prohibited SEM Ad Copy Content  

Affiliate represents and warrants that Affiliate website does not contain any materials that are: sexually explicit, obscene, or pornographic (whether in text or graphics); offensive, profane, hateful, threatening, harmful, defamatory, libelous, harassing, or discriminatory (whether based on race, ethnicity, creed, religion, gender, sexual orientation, physical disability, or otherwise); graphically violent, including any violent video game images; solicitous of any unlawful behavior or that could reasonably be construed to endorse the use of alcohol, tobacco, tobacco products, firearms, and/or banned or illegal substances; or advertises or could reasonably be construed to endorse the use or sale of prescription drugs. Affiliate further represents and warrants that it has obtained all necessary clearances, licenses, or other permission for any intellectual property used on Affiliate's website and that nothing on Affiliate's website infringes upon the intellectual property rights of any person or entity. Affiliate hereby indemnifies Company against any third party action or claim relating or pertaining to the foregoing.

Affiliate must use language that does not violate or contravene the Terms and Conditions available on ABCmouse.com. Publishers may only use coupons, promotional codes or other incentives that are provided exclusively through the affiliate program or are pre-approved in writing by the Company prior to promotion.

Web Site - Use of Logos and Trademarks in Web sites  

Affiliate may not use any graphic, textual or other materials to promote Company's website, products or services other than the promotional materials provided by Company. The promotional materials will only link to Company's website and only to the specific page and address specified by Company and for no other purpose. Affiliate will not alter, add to, subtract from, or otherwise modify the promotional materials provided by Company. If Affiliate wishes to alter or otherwise modify the promotional materials, Affiliate must obtain prior written consent from Company for such alteration or modification in each instance prior to display. Company hereby grants to affiliate a nonexclusive, nontransferable, worldwide license to use Company’s promotional materials and the intellectual property contained therein to link to Company's website (and only to the specific page and address specified by Company) and for no other purpose. The term of the license will expire upon the expiration or termination of this Affiliate Agreement or may be revoked for any reason whatsoever in the unilateral discretion of Company, whichever is earlier. Company retains all right, title, ownership, and interest in its promotional materials, and in any copyright, trademark, or other intellectual property rights whatsoever embodied therein or related thereto. Affiliate is granted no additional rights beyond those specifically listed above. This Agreement will not be construed to create any employment relationship, agency relationship, or partnership between Company and Affiliate.
